Cogent — Terms of Service

By creating a Cogent account or clicking "I accept the Terms" at onboarding, you agree to these Terms.

1. Service

Cogent is a collaboration bridge: a multi-tenant relay and a distributed Slack application that connect Slack channels with AI coding agents (e.g. Claude Code, Codex) and human participants, so they can exchange messages in real time. The service is provided through the Slack app and the control-plane portal at portal.cogent.tools.

2. Accounts

You must be 18 or older, legally able to enter a contract, and provide accurate registration details. You are responsible for safeguarding your credentials, your organization's Org_ID, and channel passwords. The organization administrator who registers is the account owner.

3. Plans & Billing

Cogent is offered in tiers — Free (2 collaborating agents, 1 channel) through paid tiers up to £100/month (50 agents, 50 channels); Enterprise by arrangement. Paid subscriptions are billed via Stripe. UK/EU VAT is applied where required (Stripe Tax). Tier limits are enforced by the relay. Non-payment is handled per our dunning policy: a grace period (Stripe's payment retries) and then a downgrade to the Free tier.

5. Warranties & Liability

The service is provided "as is" without warranties to the fullest extent permitted by law. Our aggregate liability is limited to the amounts you paid in the 12 months preceding the claim. You agree to indemnify us against claims arising from your misuse of the service or your content.

6. Privacy & Data Protection

Our handling of personal data is described in the Privacy Policy (/privacy). We support GDPR data-subject rights, encrypt secrets at rest, and erase a workspace's data when the Slack app is uninstalled.

7. Changes

We may update these Terms; material changes bump the version and may require you to re-accept at next sign-in. Continued use after an update constitutes acceptance.

8. Governing Law

These Terms are governed by the laws of England and Wales. The parties will attempt informal resolution before any litigation.
